TERMS & CONDITIONS:

INTERPRETATION

In these Terms and Conditions, the following definitions apply:

ARD Strategies: A division of ARD Global Media Group, LLC, registered at PO Box 63, Norristown, PA 19403, USA.

ARD Products or Services (Products and/or Services): Offerings provided by ARD Strategies.

Client: The individual or entity purchasing Products and/or Services from ARD Strategies.

Commencement Date: The date ARD begins providing the Products and/or Services to the Client.

Conditions: The terms and conditions outlined herein, subject to amendments under clause 14.

Contract: The agreement between ARD and the Client, encompassing the Order and these Conditions.

Fees: Payments due for the Products and/or Services, as specified in the Order.

Order: Client's request for Products and/or Services, as outlined in the Order Form.

Order Form: ARD’s form, completed online, over the phone, or in person, indicating Fees and incorporating these Terms and Conditions.

Service: Provision and access to ARD Products and/or Services.

Privacy Policy: Policy defining rights and obligations related to personal data and privacy, accessible at http://www.ardstrategies.com/privacy.

Authorized Affiliates: Client's affiliated entities using the Products and/or Services.

Authorized Users: Users authorized by the Client for Product and/or Service use.

Client Data: Data provided/uploaded/hosted by Client on Products and/or Services.

Client Systems: Software/systems used by Client, Affiliates, subcontractors, or Users in connection with Products and/or Services.

Protected Data: Information outlined in the Privacy Policy.

Services: Software platform enabling Client’s customer marketing and database management.

2. BASICS OF CONTRACT

2.1. Entire Agreement: The Contract constitutes the complete agreement between parties, excluding any external statements. Client acknowledges not relying on any statements beyond the Contract.

2.2. Description Accuracy: Descriptions or illustrations in ARD materials provide approximate ideas but do not form part of the Contract.

2.3. Changes: ARD can modify Products and/or Services nature, scope, or content without notice, ensuring no fundamental changes.

2.4. Supply Guarantee: ARD provides Products and/or Services with reasonable care and skill but doesn’t guarantee specific results.

2.5. Timelines: ARD will strive to meet support dates, though provisional, subject to change without liability.

2.6. Changes in Support: ARD can alter support details without affecting core quality.

2.7. Compliance: Client must comply with all laws related to Product and/or Service use.

3. CLIENT’S OBLIGATIONS

Client will:

(a) Ensure information given to ARD is accurate.

(b) Cooperate with ARD in Product and/or Service matters.

(c) Pay Fees as per the Order.

(d) Use Products and/or Services only for authorized purposes.

(e) Not use Products and/or Services unlawfully.

(f) Permit ARD to use Client’s benefits for promotional purposes.

4. FEES AND PAYMENT

4.1. Fee Details: Fees as specified in the Order, confirmed in writing or phone agreement, are payable.

4.2. Payment Schedule: Fees paid as per Order or agreed in writing/phone with finance company.

4.3. No Deductions: Payments to ARD without deductions, set-offs, or counterclaims.

4.4. Installments: Monthly payments as per Order date or agreement.

4.5. Non-Usage Payment: Fees due even if Products and/or Services unused.

4.6. Payment Processing: ARD can process outstanding payments using Client’s card details.

4.7. Overdue Payments: ARD may suspend Services for overdue payments.

4.8. Non-Cancellable: Contract non-cancellable; payment due irrespective of usage.

4.9. Client Responsibility: Client responsible for Order, decisions, and payments.

4.10. Legal Action: ARD can employ legal representation for non-payment.

5. COOLING OFF AND RIGHT TO CANCEL

5.1. Cooling Off Period: Client can cancel within 5 days from Order date.

5.2. Cancellation Notice: Written notice within 5-day period required.

5.3. Refund Request: Client must email cancellation request to info@ardstrategies.com.

5.4. Cancellation Effect: Cancellation terminates Products and/or Services.

5.5. Refund Deadline: No refund if not requested within cooling off period.

5.6. Refund Exception: ARD can consider refunds outside rescission period.

6. LIMITATION OF LIABILITY

6.1. Force Majeure: Neither party liable for events beyond control.

6.2. Indirect Loss: ARD not liable for indirect, special damages, or loss of profits.

6.3. Maximum Damages: ARD’s liability limited to preceding month's Fees.

7. NON-COMPETE

Client won’t compete with ARD’s business, causing loss.

8. INTELLECTUAL PROPERTY RIGHTS

8.1. Ownership: ARD owns Products and/or Services intellectual property rights.

8.2. License: Client grants ARD rights to use Client Data and Systems for Service provision.

9. DATA AND INFORMATION

9.1. Data Ownership: Protected Data property of Client or its licensor.

9.2. Data Compliance: Client ensures data complies with laws.

9.3. Data Suspension: ARD can suspend Services for data breaches.

10. CONFIDENTIALITY AND SECURITY OF DATA

10.1. Data Confidentiality: ARD maintains Protected Data confidentiality.

10.2. Limited Disclosure: ARD discloses data to necessary personnel only.

10.3. Client Confidentiality: Client agrees to maintain participant confidentiality.

11. WARRANTIES

ARD provides Products and/or Services without warranties, including accuracy or quality of information.

12. ASSIGNMENT AND SUB-CONTRACTING

Client won’t assign rights/obligations without ARD consent.

13. WAIVER

Waiver of any right must be in writing and doesn’t affect future breaches.

14. VARIATION

Variations to Contract must be in writing and agreed upon.

15. APPLICABLE LAW

Disputes subject to United States laws; invalid provisions don’t affect others.

16. CLIENT CONFIDENTIALITY AGREEMENT

16.1. Limited Access: Products and/or Services limited to registered participants.

16.2. Non-Disclosure: Client won’t disclose participant identity/comments.

16.3. Confidentiality Breach: Breach causes irreparable harm; Client responsible.

16.4. Client Experience: Client can share experiences without limitations.

16.5. ARD Rights: ARD can share results/testimonials for promotional purposes.

17. COMPLAINTS

17.1. Complaints Procedure: ARD has a fair and prompt complaints procedure.

18. GENERAL

18.1. Event Alterations: ARD can alter dates/venues without liability.

18.2. Program Changes: ARD can change programs, services,We started as a statement against the sloppy professional standards that dominated the field of construction services 20 years ago. We wanted to set a new, high standard and work as consultants, solving our client's problems.
